American Bitcoin Corp. completed a 1-for-15 reverse stock split of its outstanding common stock, following stockholder and board approvals in June. The company filed an amendment to its Second Amended and Restated Certificate of Incorporation with the Delaware Secretary of State on July 2, 2026, and the amendment became effective the same day. The action was previously authorized by stockholders at the company’s annual meeting on June 22, 2026. At that meeting, investors approved giving the board discretion to implement a reverse split at a ratio between 1-for-5 and 1-for-40. Later that day, the board selected a 1-for-15 ratio. Before the reverse split, American Bitcoin had 1,092,295,800 issued shares of common stock, consisting of 360,070,897 shares of Class A common stock, 732,224,903 shares of Class B common stock, and no shares of Class C common stock. After the 1-for-15 split, the company expects to have approximately 73 million issued shares, including about 24 million Class A shares and about 49 million Class B shares, with no Class C shares outstanding, subject to adjustments for fractional shares. The company said the authorized number of shares and the par value of each class of common stock will not be reduced. Proportionate adjustments will also be made to shares available under the company’s equity compensation plan, shares issuable upon vesting and settlement of existing equity grants, and the number of Class A shares purchasable upon exercise of outstanding warrants. For certain warrants, the exercise price per share will also be adjusted according to the applicable warrant agreements.
