A specified account is a system established to reduce the tax burden on individual customers, and only one specified account can be opened at a single securities company.
When opening a specified account, you will choose either "withholding tax applied" or "no withholding tax (tax return required)."

Taxation on Capital Gains from Listed Stocks, etc. For individual customers who earn profits from the sale of listed stocks, etc., a tax rate of 20.315% (15.315% income tax and reconstruction special income tax, 5% local inhabitant tax) will apply. This tax rate may change due to future revisions, etc.

2. Taxation on Dividends, etc. from Listed Stocks, etc. The method of reporting dividends for individual customers differs depending on whether their account has withholding tax or not. If withholding tax is applied, a final tax return is generally not required. If no withholding tax is applied, a return must be filed under either separate taxation or comprehensive taxation. When dividends are paid to individual customers, a tax rate of 20.315% (15.315% income tax and reconstruction special income tax, 5% local inhabitant tax) will apply to the dividends. If you hold 3% or more of the total outstanding shares, comprehensive taxation will generally apply. This tax rate may change due to future revisions, etc.

Why is the amount I can withdraw less than my wallet balance?

The proceeds from the sale of US stocks will be reflected in your withdrawable balance on the later of the following two domestic business days (the domestic trade date) or the US settlement date (the US settlement date).

Furthermore, if you have a completed sell order before the domestic settlement date, the withdrawable balance may be lower than the actual settlement amount due to the collection of taxes (capital gains tax) in your specified account.

Once the domestic settlement date arrives, the amount of tax to be collected or refunded will be finalized and reflected in your withdrawable balance.

However, if the domestic settlement date is the first business day of the month, the reflection in your withdrawable balance will occur on the next business day (the second business day of the month).

Please note that dividends will be converted to Japanese yen at the exchange rate at the time the dividend was paid and deposited into your wallet.

What is unfair trade?

In US stock trading, the following transactions are prohibited. If we and AlpacaJapan Co., Ltd. determine that you have engaged in or are suspected of engaging in any of the following transactions, we may restrict your trading.

* Layering/Spoofing: Similar to "spoofing" in Japanese stock trading. This refers to placing buy or sell orders without the intention of execution, with the aim of misleading other investors into believing that the market price was formed naturally and enticing them into trading.

* Closing Price Marking: Similar to "closing price manipulation" in Japanese stock trading. This refers to placing large or repeated orders during a specific time period, including the end of trading, with the aim of raising (lowering) or maintaining a constant closing price for a particular stock.

* Wash Trading and Proprietary Trading: Similar to "virtual trading" and "collusive trading" in Japanese stock trading. This refers to transactions where the same person places both buy and sell orders at the same time and price, without the intention of transferring rights, with the aim of misleading other investors into believing that trading of a particular stock is active and enticing them into trading.

* Insider Trading
Customers who work for the Japanese subsidiary of a U.S. company, or for a Japanese company with a capital relationship with a U.S. company, or who are in a position to have access to undisclosed material information about a U.S. company, may be subject to U.S. insider trading regulations.
When trading, please ensure that you do not possess any undisclosed material information about the U.S. company in question.

At Woodstock, you can buy US stocks in real time starting from 200 yen. A fractional share refers to a share that is less than one trading unit (one share in the case of US stocks). While fractional shares do not grant voting rights at shareholder meetings, dividends are paid in proportion to the number of shares held, just like with regular trading units.

Are there any restrictions on selling the item?

We cannot accept sell orders in the following cases:

If the estimated transaction amount is less than 200 yen for an order specifying an amount or quantity.

If the order quantity does not match the available quantity for a quantity-specified order, and the estimated transaction amount is less than 200 yen.

Please note that if you wish to sell all of your holdings, please specify the entire quantity using a quantity-specified order, rather than specifying an amount.

Why can't I purchase the full amount I ordered?

Woodstock allows you to purchase US stocks using a specified amount order in Japanese yen.

Based on the amount you enter, the quantity to be purchased is determined using the following formula:

Quantity = Specified Amount ÷ [Unit Price (USD) × Base Exchange Rate]

*Unit Price is the base stock price or bid price at the time of order placement.

*Fractions of less than 0.0001 shares are rounded down.

There are no transaction fees or exchange fees.

However, depending on the exchange rate, stock market trends, and the price of the smallest unit quantity of the stock handled by our company, it may not be possible to execute the full specified amount.

Also, currently, sales are conducted in units of shares, not by specifying a yen amount.

The available tradable securities differ between regular trading hours (opening hours) and after-hours trading (pre-market, after-market, and night trading hours). During regular trading hours, you can trade over 1000 securities. Not all securities are available for trading (instant execution) during after-hours trading.

Also, limit orders and instant orders are available during after-hours trading. Market orders are not available.

During after-hours trading (pre-market, after-market, and night trading hours), you can choose between limit orders and instant orders. If you want to freely set the limit price, please choose a limit order. During normal trading hours, market orders and limit orders are available.

A 24-hour day is defined as starting at 10:00 AM Japan time (9:00 AM during daylight saving time) (US market time). Orders are valid only for the day they are placed, so please note that any unexecuted orders placed the previous day will expire at 10:00 AM Japan time (9:00 AM during daylight saving time).
