American Electric Power Company, Inc. is an American domestic electric utility company in the United States. It is one of the largest electric utility companies in the country, with more than five million customers in 11 states. American Electric Power Company is one of the nation's largest generators of electricity, owning nearly 38,000 megawatts of generating capacity in the United States. AEP also owns the nation's largest electricity transmission system, a nearly 39,000-mile network that includes more 765 kilovolt ultra-high voltage transmission lines than all other U.S. transmission systems combined. AEP's transmission system directly or indirectly provides about 10 percent of the electricity demand in the Eastern Interconnection, the interconnected transmission system that covers 38 eastern and central U.S. states and eastern Canada, and approximately 11 percent of the electricity demand in the Electric Reliability Council of Texas, the transmission system that covers much of Texas. AEP's utility units operate as AEP Ohio, AEP Texas, Appalachian Power, Indiana Michigan Power, Kentucky Power, Public Service Company of Oklahoma, and Southwestern Electric Power Company.

American Electric Power Company, Inc. (AEP) expanded its board of directors on July 20, 2026, electing David S. Marriott and Charles J. Meyers as independent directors effective the same day. The appointments were reported under Item 5.02 of Form 8-K, which covers director and officer changes and related governance matters. Marriott was appointed to AEP’s Audit Committee and Technology Committee. He has served on the board of Marriott International, Inc. since 2021 and has been chairman of that company’s board since 2022. His prior roles at Marriott International included President, U.S. Full Service Managed by Marriott from 2018 to 2021, and Chief Operations Officer, The Americas, Eastern Region from 2010 to 2018. He began working with Marriott in 1999 and held a range of operational, sales and leadership positions. Meyers was appointed to AEP’s Nominating, Governance & Compensation Committee and Nuclear Oversight Committee. He is Executive Chairman of Equinix, Inc., a network colocation, interconnection and managed services company, a role he has held since June 2024. Before that, he served as Equinix’s Chief Executive Officer and President from 2018 to 2024, following earlier roles as President, Strategy, Services and Innovation; Chief Operating Officer; and President, Equinix Americas. AEP’s board determined that both Marriott and Meyers qualify as independent directors under the company’s corporate governance principles, Nasdaq independence standards and applicable SEC rules. Their initial terms will run until AEP’s 2027 annual meeting of shareholders. As non-employee directors, Marriott and Meyers will receive the same compensation provided to AEP’s other non-employee directors under previously approved board policies. The filing did not report any stock purchase, sale, option exercise, award grant, share count, transaction price or change in beneficial ownership; the corporate action was the election of two new independent directors and their committee assignments.
