AES Corp. stockholders approved the company’s pending merger with Horizon Parent, L.P. at a special meeting held on June 26, 2026, clearing a key shareholder hurdle for the transaction announced under a March 1, 2026 merger agreement. Under that agreement, Horizon Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Horizon Parent, will merge with and into AES, subject to the terms and conditions of the deal. The filing does not state the merger consideration or price per share, but it confirms that stockholders voted to adopt the merger agreement and approve the related transactions. At the special meeting, 489,710,776 shares of AES common stock were represented in person via Internet or by proxy.
