Camtek Ltd. has called its 2026 Annual General Meeting of Shareholders for July 29, 2026, at 4:00 p.m. Israel time, at the company’s offices in the Ramat Gavriel Industrial Zone in Migdal Ha’Emek, Israel. The Israeli semiconductor inspection and metrology company said the meeting may be switched to a virtual format if management determines that is advisable or required. Shareholders of record as of the close of business on June 29, 2026, will be entitled to vote, with each ordinary share of NIS 0.01 par value carrying one vote. The meeting agenda centers on routine but significant governance approvals. Shareholders will be asked to re-elect seven directors: Rafi Amit, Camtek’s chief executive officer and a director; Lior Aviram, executive chairman of the board; Yotam Stern; Moty Ben-Arie; I-Shih Tseng; Leo Huang; and Orit Stav. The company’s articles provide for a board of between five and ten directors, and the board currently has nine members. The seven nominees are proposed for terms of approximately one year, ending at the 2027 annual general meeting, unless their offices are vacated earlier. Shareholders will also vote on re-approving the grant of indemnification and exemption letters to three directors: Rafi Amit, Yotam Stern and Leo Huang. In addition, the company is seeking approval to reappoint Somekh Chaikin, a member firm of KPMG International, as Camtek’s independent auditor for the fiscal year ending December 31, 2026, for the year beginning January 1, 2027, and until the next annual general meeting. The board, upon the recommendation of the audit committee, would be authorized to set the auditor’s annual compensation based on the volume and nature of its services. Shareholders will also have an opportunity to discuss Camtek’s audited consolidated financial statements and the independent auditor’s report for the year ended December 31, 2025, but that item will not be put to a vote. The proxy materials also describe Camtek’s principal ownership structure as of June 18, 2026, when the company had 46,656,521 ordinary shares issued and outstanding. Priortech Ltd. was listed as the largest holder, with 9,617,787 shares, or 20.61% of the company. Chroma ATE Inc. held 7,817,440 shares, or 16.75%. Other 5% holders included Harel Insurance Investments & Financial Services Ltd. with 3,632,087 shares, or 7.78%; Wasatch Advisors LP with 2,728,318 shares, or 5.85%; and Migdal Insurance & Financial Holdings Ltd. with 2,332,037 shares, or 5.00%. Camtek noted that Priortech and Chroma are parties to a voting agreement under which they vote together at Camtek shareholder meetings and have joint control over the company. Under that agreement, Chroma is entitled to nominate up to two directors and Priortech is entitled to nominate up to three directors. A separate voting arrangement covering 29.26% of Priortech’s voting equity may cause Rafi Amit, Yotam Stern and several other parties to be deemed to control Priortech, though the filing states that the relevant individuals disclaim beneficial ownership of Camtek shares held through Priortech where applicable. Among insiders, Rafi Amit was reported as beneficially owning 34,128 Camtek shares, consisting of 25,582 ordinary shares and 8,546 restricted share units expected to vest within 60 days of June 18,.
