Cummins Inc. reported an insider ownership change involving Brett Michael Merritt on May 19, 2026. The Form 4 covers the company’s common stock and lists a transaction involving 10,186 shares at a price of $113.4932 per share, implying a transaction value of approximately $1.16 million. The filing identifies Merritt as the reporting person and Cummins Inc. as the issuer. It does not provide enough detail in the excerpt to determine whether the 10,186-share entry was an acquisition or disposition, nor does it show the Form 4 transaction code, the number of shares beneficially owned after the transaction, or whether the shares were held directly or indirectly. No derivative-security details, option exercise terms, vesting schedule, or explanatory footnotes are included in the provided text. The report was signed on Merritt’s behalf by Nicole Y. Lamb-Hale, attorney-in-fact, on May 19, 2026. While the filing clearly indicates a reportable change in insider ownership of Cummins common stock, the limited disclosure provided here means investors can identify the size, date, security, and per-share price of the reported transaction, but not the precise nature of the insider action or Merritt’s resulting ownership position.

About the company
Cummins Inc.
Cummins is a leading manufacturer of diesel and other engines used in heavy- and medium-duty commercial trucks, off-highway equipment, and locomotives, in addition to prime power and standby generators. The company also sells powertrain components, which include filtration products, transmissions, turbochargers, aftertreatment systems, and fuel systems. Sales are approximately 60% US and Canada and 40% rest of the world. Much of Cummins' foreign sales (China, India, and so forth) are through joint ventures. The company operates 650 distributors and over 19,000 dealer locations across 190 countries. Cummins' business model is unique as it competes with many of its heavy-duty truck manufacturer customers, which also make their own engines.
