Critical Metals Corp. reported new financial disclosure tied to two major transactions intended to expand its interests in critical minerals assets, including its recently increased ownership of Tanbreez Mining Greenland A/S and its pending acquisition of European Lithium Ltd. The company said that, as previously disclosed, it completed the acquisition of an additional 50.5% ownership interest in Tanbreez Mining Greenland A/S on April 29, 2026. That transaction increased Critical Metals’ total ownership of Tanbreez to 92.5%. Tanbreez is therefore now effectively controlled by Critical Metals, and the filing provides historical financial statements needed to reflect that acquisition in the company’s public reporting. Critical Metals also reiterated that on May 18, 2026, it entered into a binding Scheme Implementation Deed to acquire all of the issued shares and listed options of European Lithium Ltd. The proposed acquisition is to be carried out through two interdependent schemes of arrangement under Australian law. Completion remains subject to multiple conditions, including approval by European Lithium shareholders. The company said the European Lithium transaction is expected to close in the second half of 2026. The June 22 report was filed primarily to supply required financial information for these transactions. Critical Metals included, or incorporated by reference, audited financial statements for Tanbreez for the years ended December 31, 2025 and 2024; audited financial statements for European Lithium for the years ended June 30, 2025 and 2024; unaudited interim financial statements for European Lithium as of and for the six months ended December 31, 2025 and 2024; and unaudited pro forma condensed financial information showing the effect of the Tanbreez and European Lithium transactions on Critical Metals. The filing also included consents from the independent accounting firms associated with the financial statements: Marcum LLP and CBIZ CPAS P.C. for Tanbreez, and SW Audit for European Lithium. Critical Metals stated that the information in the Form 6-K is incorporated by reference into several of its existing registration statements, including Form F-3 and Form S-8 filings. No insider trading transaction, share purchase, sale, option exercise, transaction code, per-share price, or post-transaction insider ownership figure was reported in this document. The importance of the filing is instead that it provides the financial statements and pro forma information required for investors to assess the impact of Critical Metals’ completed Tanbreez acquisition and its pending all-share-and-option acquisition of European Lithium.
