Deere & Company

Deere is the world's leading manufacturer of agricultural equipment and a major producer of construction machinery. The company is divided into four reporting segments: production & precision agriculture, or PPA, small agriculture & turf, or SAT, construction & forestry, or CF, and financial services, or FS, its captive finance subsidiary. The core PPA business is the largest contributor to sales and profits by far. Geographically, Deere sales are 60% US/Canada, 17% Europe, 14% Latin America, and 9% rest of the world. Deere goes to market through a robust dealer network that includes over 2,000 dealer locations in North America with reach into over 100 countries. John Deere Financial provides retail financing for machinery to its customers and wholesale financing for dealers.

Deere & Company reported that its indirect wholly owned subsidiary, Deere Funding Canada Corporation, agreed on July 10, 2026, to sell $300 million aggregate principal amount of 4.850% notes due July 15, 2031. The debt securities will be fully and unconditionally guaranteed by Deere & Company on a senior unsecured basis. The notes are unsecured obligations of Deere Funding Canada and will rank equally with the issuer’s other unsecured and unsubordinated debt. Deere’s guarantee will also be a senior unsecured obligation, ranking equally in right of payment with Deere’s other senior unsecured indebtedness outstanding from time to time. In connection with the offering, Deere Funding Canada and Deere entered into a terms agreement dated July 10, 2026, with Barclays Capital Inc., Credit Agricole Securities (USA) Inc., Deutsche Bank Securities Inc., RBC Capital Markets, LLC and TD Securities (USA) LLC, acting as representatives of the underwriters. Interest on the notes will be paid semiannually on January 15 and July 15 of each year, beginning January 15, 2027. The securities are being issued under an indenture dated June 15, 2020, among Deere Funding Canada, Deere & Company and The Bank of New York Mellon. The issuer may redeem the notes in whole or in part before maturity with at least 15 days’ and no more than 45 days’ notice, at the redemption price described in the final prospectus supplement dated July 10, 2026. In addition, either the issuer or Deere may redeem all, but not part, of the notes at 100% of principal plus accrued and unpaid interest to, but excluding, the redemption date if certain tax-related developments occur involving Canada or other applicable taxing jurisdictions. The Form 8-K was filed under Item 8.01, “Other Events,” and also included Item 9.01 exhibits. Deere filed the terms agreement, the form of the 4.850% note due 2031, and legal opinions from Kirkland & Ellis LLP and Borden Ladner Gervais LLP regarding the legality of the notes. The securities were registered under a Form S-3 registration statement filed June 17, 2026, and the company said the new exhibits are incorporated by reference into that registration statement.
