About the company

Fluor Corp

Fluor Corporation is an American engineering and construction firm, headquartered in Irving, Texas. It is a holding company that provides services through its subsidiaries in three main areas: oil and gas, industrial and infrastructure, government and power. It is the largest publicly traded engineering and construction company in the Fortune 500 rankings and is listed as 265th overall. Fluor was founded in 1912 by John Simon Fluor as Fluor Construction Company. It grew quickly, predominantly by building oil refineries, pipelines, and other facilities for the oil and gas industry, at first in California, and then in the Middle East and globally. In the late 1960s, it began diversifying into oil drilling, coal mining and other raw materials like lead. A global recession in the oil and gas industry and losses from its mining operation led to restructuring and layoffs in the 1980s. Fluor sold its oil operations and diversified its construction work into a broader range of services and industries. In the 1990s, Fluor introduced new services like equipment rentals and staffing. Nuclear waste cleanup projects and other environmental work became a significant portion of Fluor's revenues.

Market action

A concise summary of the latest filing, transaction, or market-moving item.

Fluor Corp. reported an insider ownership change involving Matthew K. Rose in a Form 4 filed on May 8, 2026. The reported transaction occurred on May 6, 2026, and involved Fluor common stock. The filing states that the securities were “granted as restricted stock units that vested on May 6, 2026.” This indicates the ownership change was tied to an equity compensation award rather than an open-market purchase or sale. Restricted stock units typically convert into shares when vesting conditions are satisfied, increasing the insider’s beneficial ownership unless shares are withheld or sold for taxes. The document excerpt identifies the security as common stock and includes an explanatory note about the restricted stock units, but it does not provide the number of shares involved, the transaction price, a transaction code, or Matthew K. Rose’s beneficial ownership after the transaction. No sale price or market transaction is reported in the provided text. The Form 4 was signed on Rose’s behalf by Nicholas A. Gaspard under power of attorney on May 8, 2026. The filing matters because it reflects the vesting of insider equity compensation at Fluor, a routine but reportable change in beneficial ownership by a company insider.
