Fortinet, Inc. reported the results of its 2026 Annual Meeting of Stockholders, held on June 12, 2026. The company said holders of 645,371,440 shares of common stock were present in person or by proxy, representing approximately 88.15% of the total outstanding shares eligible to vote. Stockholders elected all nine nominees to Fortinet’s board of directors for one-year terms expiring at the 2027 annual meeting, with each director to serve until a successor is elected and qualified. The elected directors were Ken Xie, Michael Xie, Kenneth A. Goldman, Ming Hsieh, Jean Hu, Janet Napolitano, Judith Sim, Admiral James Stavridis (Ret.), and Derek Kan. The director voting showed varying levels of support. Jean Hu received 571,412,763 votes for and 603,345 against, while Janet Napolitano received 570,789,627 for and 1,226,481 against. Derek Kan received 569,411,608 for and 2,604,500 against, and Michael Xie received 567,230,046 for and 4,786,062 against. Other nominees faced larger opposition: Kenneth A. Goldman received 483,789,941 votes for and 88,226,167 against; Ming Hsieh received 501,896,064 for and 70,120,044 against; Ken Xie received 529,845,773 for and 42,170,335 against; Judith Sim received 532,383,923 for and 39,632,185 against; and Admiral James Stavridis received 527,197,202 for and 44,818,906 against. For each director election, 73,355,332 broker non-votes were reported. Shareholders also ratified the appointment of Deloitte & Touche LLP as Fortinet’s independent registered public accounting firm for the fiscal year ending December 31, 2026. The accounting firm ratification received 604,142,871 votes for, 40,813,457 votes against, and 415,112 abstentions. In addition, Fortinet held an advisory “say-on-pay” vote on the compensation of its named executive officers. Stockholders approved the compensation proposal with 506,869,004 votes for, 64,560,858 votes against, and 586,246 abstentions. The proposal also had 73,355,332 broker non-votes.
