GameStop Corp. reported that its stockholders approved a major charter amendment at the company’s 2026 annual meeting on July 7, 2026, authorizing an increase in the number of shares of Class A common stock the company may issue to 2.5 billion shares. The amendment, identified as Amendment No. 2 to GameStop’s Third Amended and Restated Certificate of Incorporation, will become effective when filed with the Delaware Secretary of State. The authorized-share increase was approved as Proposal 5, with 231,693,497 votes in favor, 104,566,841 votes against and 980,270 abstentions. The action does not itself issue new shares, but it gives GameStop substantially more capacity to issue Class A common stock in the future for corporate purposes such as financings, equity compensation, acquisitions or other strategic uses, subject to applicable approvals and market conditions. At the annual meeting, holders of 337,264,104 shares were present in person or represented by proxy, representing about 75.17% of the 448,691,227 shares outstanding and entitled to vote as of the May 20, 2026 record date. GameStop also noted that a previously disclosed Proposal 4, the approval of a CEO Performance Award, had been withdrawn and was not presented for tabulation. Stockholders elected all five director nominees to serve until the next annual meeting and until their successors are elected and qualified. Ryan Cohen received 244,771,847 votes for, 4,967,782 against and 481,751 abstentions. Lawrence Cheng received 242,847,106 votes for, 6,710,786 against and 663,488 abstentions. James Grube received 243,506,127 votes for, 5,576,789 against and 1,138,463 abstentions. Nathaniel Turner received 235,889,624 votes for, 12,917,333 against and 1,414,423 abstentions. Alain Attal received 218,154,357 votes for, 30,669,866 against and 1,397,156 abstentions. Each director election also had broker non-votes, with 87,042,724 reported for Attal and the same total implied by the voting totals for the other nominees. The company’s advisory, non-binding say-on-pay proposal regarding named executive officer compensation was approved with 242,391,322 votes for, 6,890,660 against and 915,902 abstentions. Stockholders also ratified KPMG LLP as GameStop’s independent registered public accounting firm for the fiscal year ending January 30, 2027, with 333,150,417 votes for, 2,652,828 against and 1,437,362 abstentions. GameStop said it issued a July 7 press release announcing approval of all proposals presented at the 2026 annual meeting.
