About the company

Las Vegas Sands Corp.

Las Vegas Sands Corp. is an American casino and resort company with corporate headquarters in Las Vegas, Nevada. It was founded by Sheldon G. Adelson and his partners out of the Sands Hotel and Casino on the Las Vegas Strip. The Sands was demolished and redeveloped as The Venetian, opening in 1999. An adjacent resort, The Palazzo, opened in 2007. Both resorts were sold in 2022. The company holds several resorts in Asia, including Marina Bay Sands in Singapore, which opened in 2010. Through its majority-owned subsidiary Sands China, the company owns several properties in Macau, including Sands Macao, The Londoner Macao, The Venetian Macao, and The Parisian Macao. As of 2024, it is the second-largest casino company worldwide by revenue with $11.3 billion USD, ahead of Caesars Entertainment and trailing only MGM Resorts International.

Market action

A concise summary of the latest filing, transaction, or market-moving item.

Las Vegas Sands Corp. insider Miriam Adelson reported a change in beneficial ownership of the company’s common stock tied to transactions dated June 16, 2026. The Form 4, filed June 18, 2026, describes transfers of Las Vegas Sands common shares “for no consideration” among one or more members of, or trusts for the benefit of, the Adelson family. The filing does not describe an open-market purchase or sale, and it does not report a transaction price. The explanatory note states that the transfers were exempt under Rule 16a-13 of the Securities Exchange Act of 1934, a rule that generally covers certain changes in the form of beneficial ownership where the insider’s pecuniary interest is not changed in a way treated as a market transaction. The reporting parties/signatories include Miriam Adelson and two family-related trusts: the General Trust under the Sheldon G. Adelson 2007 Remainder Trust and the General Trust under the Sheldon G. Adelson 2007 Friends & Family Trust, each signed by Miriam Adelson as trustee. The filing indicates the activity involved Las Vegas Sands common stock, but the text provided does not include the specific number of shares transferred, transaction code line items, per-share values, or post-transaction ownership totals. In practical terms, the report signals an internal Adelson family or trust reallocation of Las Vegas Sands shares rather than a cash sale into the market or a new purchase. Such filings matter because the Adelson family and related trusts have historically represented significant insider ownership in Las Vegas Sands, so even non-market transfers can be relevant for investors tracking control, estate planning structures, and insider beneficial ownership changes.
