Marsh & McLennan Companies, Inc. reported that it entered into a new five-year revolving credit arrangement on June 2, 2026, increasing its available unsecured liquidity and replacing a prior facility. The company and certain domestic and foreign subsidiaries signed an Amended and Restated 5 Year Credit Agreement with Citibank, N.A. serving as administrative agent and a syndicate of lenders as parties to the agreement. The new facility is a multi-currency, unsecured revolving credit facility with total commitments of $4.25 billion. It is scheduled to expire in June 2031. Borrowings under the facility will bear interest based on Term SOFR plus a fixed margin that varies depending on Marsh & McLennan’s credit ratings. The agreement also requires the company to comply with specified coverage and leverage ratios, which will be tested quarterly. In connection with the new agreement, Marsh & McLennan terminated its previous multi-currency unsecured five-year revolving credit facility, which had provided $3.5 billion of commitments under an Amended and Restated 5 Year Credit Agreement dated October 11, 2023. The new agreement therefore increases the company’s revolving credit capacity by $750 million while extending the maturity profile to 2031. The Form 8-K reports the transaction under Item 1.01, “Entry into a Material Definitive Agreement,” Item 1.02, “Termination of a Material Definitive Agreement,” and Item 2.03, “Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.” The full credit agreement was filed as Exhibit 10.1. The report was signed by Connor Kuratek, Deputy General Counsel and Corporate Secretary, on June 3, 2026.
