Nordson Corporation (NYSE: NDSN) reported that it established a new commercial paper program on June 2, 2026, creating a direct financial obligation framework under Item 2.03 of Form 8-K. Under the program, Nordson may issue unsecured commercial paper notes in private placements, with a maximum aggregate principal amount outstanding at any time of $1.2 billion. The company also entered into substantially identical commercial paper dealer agreements with multiple commercial paper dealers on the effective date. These agreements set the terms under which the dealers may either purchase notes from Nordson or arrange sales of the notes by the company. A national bank will serve as issuing and paying agent under a separate issuing and paying agent agreement. Nordson said the notes may be issued from time to time and that proceeds will be used for general corporate purposes. The notes will have varying maturities, but no note may mature more than 364 days from its issue date. They may be sold either at a discount to par or at par with interest, with pricing or interest rates determined by market conditions at the time of issuance. The notes will not be registered under the Securities Act of 1933 or state securities laws. As a result, they may be offered and sold only through applicable exemptions from registration requirements. The filing states that it is not an offer to sell or a solicitation to buy the notes. The action gives Nordson access to a sizable short-term borrowing facility, commonly used by investment-grade companies to fund working capital, liquidity needs, acquisitions, debt refinancing or other general corporate purposes. No specific issuance under the program, note amount, pricing, interest rate or dealer identity was disclosed in the filing.
