PENN Entertainment, Inc. reported the results of its 2026 Annual Meeting of Shareholders, held on June 16, 2026, where shareholders voted on director elections, auditor ratification, executive compensation, an amendment to the company’s equity incentive plan, and a shareholder proposal concerning annual director elections. Holders of 116,378,236 shares of PENN common stock were present in person or by proxy. Shareholders elected four Class III directors to PENN’s board for terms expiring at the 2029 annual meeting: Marla Kaplowitz, Jane Scaccetti, Fabio Schiavolin and Jay Snowden. Kaplowitz received 89,774,779 votes for and 13,297,143 votes withheld; Scaccetti received 92,971,444 votes for and 10,100,478 withheld; Schiavolin received 102,312,318 votes for and 759,604 withheld; and Snowden received 99,755,630 votes for and 3,316,292 withheld. Each director election had 13,306,314 broker non-votes.
