Planet Labs PBC insider Kristen Robinson reported a change in beneficial ownership involving the company’s Class A common stock on July 15, 2026. The filing reports a sale of 260,004 shares at a weighted-average price of $25.0529 per share, implying gross proceeds of approximately $6.51 million before commissions, fees or taxes. The reported sales were executed in multiple trades at prices ranging from $24.31 to $26.45 per share. The filing notes that the $25.0529 figure is the weighted-average sale price, and that Robinson will provide detailed price-by-price trade information upon request to the SEC staff, Planet Labs, or a security holder of the company. The transaction was executed under a Rule 10b5-1 trading plan adopted by Robinson on January 22, 2026, indicating the sales were made pursuant to a prearranged trading plan. The filing also reports a transfer of shares by Robinson to The Gary and Kristen Robinson Trust DTD 1/3/2007, a revocable trust for which Robinson and her spouse serve as trustees. Such transfers often relate to estate or personal financial planning and may not necessarily represent a change in economic exposure in the same way as an open-market sale, depending on the trust structure. The document’s explanatory note specifically identifies the trust as the recipient of the transferred shares. The transaction involved Planet Labs’ Class A common stock. The excerpted filing information does not provide Robinson’s ownership total after the transaction or list the specific Form 4 transaction codes, but it clearly reports both the trust transfer and the planned-market sale activity tied to the January 2026 Rule 10b5-1 plan.

About the company
Planet Labs Pbc
Planet Labs PBC, known as "Planet.", is a publicly traded American Earth imaging company based in San Francisco, California. Their goal is to image the entirety of the Earth daily to monitor changes and pinpoint trends. The company designs and manufactures 3U-CubeSat miniature satellites called Doves that are then delivered into orbit as secondary payloads on other rocket launch missions. Each Dove is equipped with a high-powered telescope and camera programmed to capture different swaths of the Earth. Each Dove Earth observation satellite continuously scans Earth, sending data once it passes over a ground station, by means of a frame image sensor. The images gathered by Doves, which can be accessed online and some of which are available under an open data access policy, provide up-to-date information relevant to climate monitoring, crop yield prediction, urban planning, and disaster response. With acquisition of BlackBridge in July 2015, Planet Labs had 87 Dove and 5 RapidEye satellites launched into orbit. In 2017, Planet launched an additional 88 Dove satellites, and Google sold its subsidiary Terra Bella and its SkySat satellite constellation to Planet Labs.
