Plug Power Inc. (PLUG) reported that it has expanded and restructured a pair of asset-sale transactions with Stream US Data Centers, LLC, potentially generating significant liquidity as part of its infrastructure optimization efforts. On July 9, 2026, Plug Power and its wholly owned subsidiary, Plug Project Holding Co., LLC, amended an earlier purchase and sale agreement with Stream covering certain real property and related assets in Genesee County, New York. The original agreement, signed February 24, 2026, contemplated the sale of the New York “Gateway” project assets for a purchase price ranging from $132.5 million to $142.0 million, depending on closing timing and the removal status of certain hydrogen storage spheres on the property. Under the July 9 amendment, the parties restructured the New York transaction to allow an interim closing of the real property while providing additional time to satisfy remaining closing conditions, including regulatory and environmental review processes. The outside closing date was extended to March 31, 2027, which fixes the purchase price at $142.0 million. The amendment also provides for the prompt release to Plug Power of the full deposit previously held in escrow, plus accrued interest, totaling approximately $6.5 million. That amount will be credited against the purchase price if the transaction is ultimately completed. The amendment further requires Stream to deposit an additional $10.0 million with the escrow agent in connection with the interim real property closing. That amount also would be credited against the purchase price if the overall transaction closes. The revised agreement creates a framework for the real property to close before the remaining assets, subject to specified conditions. If the overall transaction does not close by the outside date after an interim closing, Plug Power would have a contractual right, under specified circumstances, to repurchase the conveyed real property for the amount of the interim closing consideration. Stream’s ability to transfer or further encumber the property after the interim closing is also restricted until the full transaction is completed or Plug exercises its repurchase right. In a separate transaction also dated July 9, 2026, Plug Power and Plug Project Holding entered into a new Purchase and Sale Agreement and Joint Escrow Instructions with Stream for certain real property and related assets located in Graham, Texas. Under that agreement, referred to as the Limestone Agreement, Stream agreed to pay $50.0 million at closing. Plug Power may also receive a contingent earnout payment of up to $26.5 million, depending on the electrical load capacity ultimately established for the project. The earnout is to be calculated on a pro rata basis relative to a 164-megawatt reference capacity. The Texas transaction remains subject to several closing conditions, including the accuracy of representations and warranties, compliance with covenants, delivery of closing documents, satisfaction of title, interconnection-related and governmental approval conditions, and the absence of legal or regulatory impediments. Stream has an inspection period through July 25, 2026, during which it may terminate the agreement in its sole discretion. If closing conditions are satisfied or waived, the parties expect the Texas transaction to close on or before July 31, 2026. Either party may terminate the agreement if the closing does not occur by the outside closing date, subject to the agreement’s terms. Plug Power also disclosed a preliminary liquidity figure: as of June 30, 2026, the company had approximately $162 million of unrestricted cash and cash equivalents. The company emphasized that this amount is unaudited and preliminary, subject to normal quarter-end closing procedures and accounting review, and does not provide a complete picture of its financial condition.
