Quantum Computing Inc. (QUBT) reported that shareholders approved two significant corporate-governance and capitalization measures at the company’s 2026 Annual Meeting of Stockholders held on June 24, 2026: a major increase in authorized common stock and an expansion of the company’s equity incentive plan. The most consequential charter change became effective on June 29, 2026, when Quantum Computing filed a Certificate of Amendment with the Delaware Secretary of State. The amendment increases the company’s total authorized capital stock from 260,000,000 shares to 460,000,000 shares. The increase comes entirely from common stock authorization, which rises from 250,000,000 shares to 450,000,000 shares, while the preferred stock authorization remains unchanged at 10,000,000 shares. Both common and preferred stock carry a par value of $0.0001 per share. The company also included the matter under Item 3.03, indicating the charter amendment may constitute a material modification to security-holder rights. Shareholders also approved an amendment to Quantum Computing’s 2022 Equity and Incentive Plan. The amendment increases the number of common shares reserved for issuance under the plan from 20,000,000 to 30,000,000. It also revises the plan’s “evergreen” provision: instead of adding a fixed 1,000,000 shares each year, the plan will now automatically increase annually by an amount equal to 2% of the company’s total common shares outstanding on the last day of the immediately preceding calendar year. That automatic increase runs through January 1, 2032, although the board retains authority to approve a smaller increase or no increase in any given year. The amendment also removes the plan’s Non-Employee Director Limit. At the annual meeting, Quantum Computing had 225,522,137 common shares outstanding as of the April 27, 2026 record date, with each share entitled to one vote. The company said 56.1% of outstanding shares were present in person or by proxy, establishing a quorum. Shareholders elected six directors to serve until the next annual meeting: Dr. Yuping Huang, Dr. Carl Weimer, Dr. Javad Shabani, Robert Fagenson, Michael Turmelle and Eric Schwartz. Vote totals included 48,921,172 votes for Dr. Huang and 1,876,915 withheld; 42,119,612 for Dr. Weimer and 8,678,475 withheld; 48,953,865 for Dr. Shabani and 1,844,322 withheld; 46,047,498 for Fagenson and 4,750,589 withheld; 47,550,446 for Turmelle and 3,247,641 withheld; and 49,158,646 for Schwartz and 1,639,441 withheld. The filing reported broker non-votes in connection with the director election. The company’s shareholders also approved, on a non-binding advisory basis, named executive officer compensation, with 43,551,557 votes for, 6,838,455 against and 408,075 abstentions. In addition, shareholders ratified BPM LLP as Quantum Computing’s independent registered public accounting firm for the fiscal year ending December 31, 2026, with 123,773,824 votes for, 1,526,242 against and 1,212,480 abstentions. The proposal to amend the certificate of incorporation and increase authorized common stock received 113,706,471 votes for, 11,274,194 against and 1,531,881 abstentions. The equity plan amendment passed with 31,742,436 votes for, 18,167,988 against and 887,663 abstentions. No other matters were presented for shareholder approval.
