Market action

A concise summary of the latest filing, transaction, or market-moving item.

Sweetgreen, Inc. reported the results of its 2026 Annual Meeting of Stockholders, held virtually on June 11, 2026. The filing does not report an insider purchase, sale, option exercise, equity grant, or other securities transaction; instead, it discloses stockholder voting results under Form 8-K Item 5.07. Stockholders elected all nine director nominees to serve until the company’s 2027 annual meeting, or until their successors are duly elected and qualified. The elected directors were Neil Blumenthal, Julie Bornstein, Cliff Burrows, Nicolas Jammet, Montgomery Moran, Jonathan Neman, Dawn Ostroff, Nathaniel Ru and Bradley Singer. Vote totals showed broad support across the slate, with Nathaniel Ru receiving the highest number of votes cast “for” at 172,935,640, followed by Nicolas Jammet with 172,884,692 and Cliff Burrows with 172,822,169. Dawn Ostroff received the lowest support among the nominees but was still elected, with 166,290,831 votes “for” and 8,819,156 votes withheld. The director election proposal also reflected 28,844,159 broker non-votes. The company’s shareholders also ratified the appointment of Deloitte & Touche LLP as Sweetgreen’s independent registered public accounting firm for the fiscal year ending December 27, 2026. That proposal passed overwhelmingly, with 203,336,007 votes in favor, 533,524 votes against and 84,615 abstentions. In addition, stockholders approved, on a non-binding advisory basis, the compensation of Sweetgreen’s named executive officers as disclosed in the company’s proxy statement. The say-on-pay proposal received 171,927,900 votes in favor, 3,048,452 votes against and 133,635 abstentions. Because this was an annual meeting vote-results filing, there were no reported transaction codes, share purchase or sale prices, post-transaction ownership amounts, vesting schedules, or option exercise details. The filing matters primarily because it confirms shareholder approval of Sweetgreen’s board slate, auditor appointment and executive compensation program for the year.
