Market action

A concise summary of the latest filing, transaction, or market-moving item.

SkyWater Technology, Inc. reported the results of its 2026 annual meeting of stockholders, held on June 10, 2026. The Bloomington, Minnesota-based semiconductor foundry company said shareholders voted on two matters: the election of nine directors and the ratification of the company’s independent auditor for fiscal 2026. Stockholders elected all nine nominated directors to serve until SkyWater’s 2027 annual meeting of stockholders and until their successors are duly elected and qualified. The elected directors are Timothy E. Baxter, Edward M. Daly, Nancy Fares, Dennis J. Goetz, Joseph J. Humke, Andrew D. C. LaFrence, Tammy J. Miller, Thomas Sonderman, and Loren A. Unterseher. The vote totals showed broad support for most nominees, though several directors received notable withheld votes. Thomas Sonderman, SkyWater’s chief executive officer, received 30,097,653 votes for and 297,663 votes withheld. Loren A. Unterseher received 30,082,040 votes for and 313,276 withheld, while Edward M. Daly received 29,993,959 votes for and 401,357 withheld. Nancy Fares received 29,962,582 votes for and 432,734 withheld. Other directors received lower but still sufficient support. Andrew D. C. LaFrence was elected with 28,334,349 votes for and 2,060,967 withheld. Tammy J. Miller received 28,228,743 votes for and 2,166,573 withheld. Timothy E. Baxter received 28,070,754 votes for and 2,324,562 withheld. Joseph J. Humke received 24,674,695 votes for and 5,720,621 withheld. Dennis J. Goetz had the highest level of opposition among the nominees, with 17,997,261 votes for and 12,398,055 withheld. The filing also reported 8,477,863 broker non-votes for the director-election matter. Shareholders also ratified the appointment of KPMG LLP as SkyWater’s independent registered public accounting firm for fiscal 2026. The auditor ratification passed with 38,561,892 votes in favor, 94,418 votes against, and 216,869 abstentions. The filing did not report a merger, financing, securities issuance, executive compensation change, insider stock transaction, or other operating event. Its significance is governance-related: it confirms SkyWater’s board composition for the coming year and shareholder approval of KPMG’s continued role as the company’s outside auditor for fiscal 2026.
