LaFrence was elected with 28,334,349 votes for and 2,060,967 withheld. Tammy J. Miller received 28,228,743 votes for and 2,166,573 withheld. Timothy E. Baxter received 28,070,754 votes for and 2,324,562 withheld. Joseph J. Humke received 24,674,695 votes for and 5,720,621 withheld. Dennis J. Goetz had the highest level of opposition among the nominees, with 17,997,261 votes for and 12,398,055 withheld. The filing also reported 8,477,863 broker non-votes for the director-election matter. Shareholders also ratified the appointment of KPMG LLP as SkyWater’s independent registered public accounting firm for fiscal 2026. The auditor ratification passed with 38,561,892 votes in favor, 94,418 votes against, and 216,869 abstentions. The filing did not report a merger, financing, securities issuance, executive compensation change, insider stock transaction, or other operating event.
