Sandisk Corp. insider Bernard Shek reported changes in beneficial ownership involving the company’s common stock, reflecting sales made on July 1, 2026. The Form 4 was filed the following day, July 2, 2026, and identifies the securities involved as Sandisk common stock. The filing states that the sales were carried out pursuant to a Rule 10b5-1 trading plan that Shek adopted on March 4, 2026. Such plans allow insiders to schedule trades in advance under predetermined instructions, helping demonstrate that transactions were not made on the basis of material nonpublic information at the time of execution. The provided filing text does not include the number of shares sold, the sale prices, the transaction code, or Shek’s ownership after the transaction. As a result, the key disclosed point is that an insider sale occurred on July 1 under a previously established 10b5-1 plan, rather than the precise economic size of the transaction.
