Solventum Corp. reported that it has resolved the remaining fee dispute tied to a Delaware stockholder lawsuit challenging provisions in the company’s bylaws governing advance notice and stockholder nominations. The case was filed on May 10, 2024, by plaintiff Eric Gilbert, on behalf of a putative class of Solventum stockholders, in the Court of Chancery of the State of Delaware. The complaint challenged the validity of certain aspects of Solventum’s advance notice and stockholder nomination provisions. Solventum later amended the challenged bylaw provisions on September 20, 2024, after which the plaintiff moved to dismiss the action as moot on November 13, 2024, while preserving the court’s jurisdiction to consider a request for attorneys’ fees and expenses. Solventum said it denies, and continues to deny, all allegations of wrongdoing. However, after negotiations, the company agreed to pay $120,000 in attorneys’ fees and expenses to resolve the plaintiff counsel’s fee application in full. The company said it chose to resolve the matter to avoid further litigation, citing factors including the cost and time associated with continued proceedings. On June 2, 2026, the Delaware Court entered a stipulated order closing the case and requiring notice of the payment through Solventum’s Form 8-K. The filing notes that the court was not asked to review, and did not pass judgment on, the agreed attorneys’ fee payment or its reasonableness. The 8-K was filed under Item 8.01, “Other Events,” with Solventum also listing under Item 9.01 an exhibit consisting of the June 2, 2026 Stipulation and Order Closing Case. The report was signed on June 5, 2026, by Wayde McMillan, Solventum’s executive vice president and chief financial officer.
