Market action

A concise summary of the latest filing, transaction, or market-moving item.

Truist Financial Corporation reported that on July 17, 2026, it issued its second-quarter 2026 earnings materials, including an earnings release, a quarterly performance summary, and an earnings release presentation. The filing was made under Item 2.02, “Results of Operations and Financial Condition,” indicating that the company’s action was the public release of quarterly financial results rather than an insider transaction, financing, merger, dividend declaration, or securities issuance. The company said the materials include forward-looking statements about Truist and cautionary language identifying factors that could cause actual results to differ materially from expectations. The text of the filing itself does not provide the second-quarter earnings figures, balance-sheet metrics, capital ratios, loan or deposit data, or other numerical results; instead, it identifies the earnings-related documents as exhibits to the current report. Truist specified different legal treatment for parts of the materials. The earnings release and quarterly performance summary, filed as Exhibits 99.1 and 99.2, are generally deemed “filed” for purposes of the Securities Exchange Act of 1934, except for the CEO commentary quotation on page 1 of the earnings release. That CEO commentary, along with the earnings release presentation filed as Exhibit 99.3, is being “furnished” rather than “filed,” meaning those portions are not subject to Section 18 liability under the Exchange Act unless later expressly incorporated into another filing. The filing was signed on July 17, 2026, by Cynthia B. Powell, Truist’s Executive Vice President and Corporate Controller, serving as principal accounting officer. No share counts, stock prices, insider transaction codes, option exercises, vesting events, or post-transaction ownership amounts were reported, because the filing concerns Truist’s quarterly results disclosure rather than a transaction in company securities.
