Ultra Clean Holdings, Inc. appointed Michael Keogh as its next chief financial officer, with the appointment to take effect on August 5, 2026. The company announced the move on July 8, 2026, in a Form 8-K under Item 5.02, which covers officer appointments and related compensatory arrangements. Keogh, 55, brings a long finance and operations background across technology, manufacturing, automotive and automation businesses. Most recently, he co-founded BuildQM, Inc. in March 2025 and has served as an adviser to Frontera Holding Company, Inc. since November 2024. Before that, he was chief financial officer of Ford Motor Co.’s Ford Model e segment and Ford Integrated Services from October 2022 to September 2024, leading the global finance organization for those businesses. He also served as both chief financial officer and chief operating officer of Bright Machines, Inc. from July 2021 to June 2022, where his responsibilities included IPO readiness, capital raising and SEC reporting. Earlier in his career, Keogh held senior leadership roles at Stanley Black & Decker, Apple and Intel. At Stanley Black & Decker, he served as senior vice president and general manager of Stanley X from January 2019 to July 2021, after previously serving as chief financial officer for Global Emerging Markets and Stanley X Incubation in the second half of 2018. At Apple, from June 2012 to July 2018, he held finance leadership positions including senior finance director for research and development and corporate development, director of corporate financial planning and analysis, and director of finance for worldwide operations. He previously spent nearly 13 years at Intel, from July 1999 to June 2012, in finance and general management roles in the United States and Asia, including as Philippines chief financial officer and interim general manager. Under his offer letter, Ultra Clean agreed to pay Keogh an annual base salary of $595,000. He will be eligible for an annual target bonus equal to 85% of base salary. In addition, he will receive an initial equity grant of restricted stock units, or RSUs, valued at $2 million. The filing does not state the number of shares underlying the RSU award; that amount would depend on the company’s stock price and the terms used to calculate the grant. Keogh will also be eligible for annual equity awards consisting of 50% RSUs and 50% performance stock units, or PSUs. All equity awards will be subject to Ultra Clean’s Amended and Restated Stock Incentive Plan. The RSUs will vest over three years in equal annual installments on each anniversary of Keogh’s start date. The PSUs will vest at the end of a three-year performance period, subject to the performance criteria established under the company’s PSU award program by the board of directors. The company also outlined severance and change-in-control protections for Keogh. Under Ultra Clean’s executive severance policy and his offer letter, if he is terminated without cause before a change in control, or resigns for good reason, and signs a release of claims, he would be entitled to 100% of his then-current base salary, 100% of his annual bonus based on the average annual cash bonus over the prior three years, 12 months of COBRA premium coverage, and accelerated vesting of equity awards that otherwise would vest within 12 months. Keogh also entered into a Change in Control Severance Agreement effective August 5, 2026. If his employment is terminated three months before or within 12 months after a change in control, including a resignation for good reason, his severance would increase to 150% of the sum of his then-current base salary and annual cash bonus as determined by the company over the prior three years. He would also receive 24 months of COBRA premiums and full accelerated vesting of all outstanding unvested equity awards. Ultra Clean said Keogh is expected to enter into the company’s standard indemnification agreement.
