Upstart Holdings, Inc. insider Sanjay Datta reported a sale of company common stock that took place on June 9, 2026. The Form 4, filed June 11, 2026, discloses that Datta sold 15,000 shares of Upstart common stock at a weighted-average price of $30.4077 per share. The reported sale price was an average across multiple transactions. According to the filing’s explanatory note, the shares were sold at prices ranging from $30.09 to $30.62. Based on the weighted-average price, the transaction had an approximate gross value of $456,115.50 before any commissions, fees, or taxes. The filing states that Datta will provide detailed price-by-price information to Upstart, any security holder, or SEC staff upon request. The transaction is described as a sale of common stock, corresponding to the typical Form 4 sale transaction code “S.” The filing also notes that certain securities beneficially owned by the reporting person are restricted stock units, or RSUs. Each RSU represents a contingent right to receive one share of Upstart common stock, subject to the applicable vesting schedule and conditions of the award. The provided filing text does not show Datta’s exact beneficial ownership after the sale, nor does it provide additional option exercise details or a trading-plan notation. The report therefore primarily documents a recent insider sale of 15,000 Upstart shares and clarifies that some of the insider’s remaining equity interests may consist of RSUs subject to vesting.

About the company
Upstart Holdings, Inc.
Upstart is a lending platform based in San Mateo, California. It was first launched in April 2012 with an Income Share Agreement product, which enabled individuals to raise money by contracting to share a percent of their future income. In May 2014, Upstart pivoted away from this product and toward the personal loan marketplace. With this pivot, Upstart began offering a traditional 3-year loan, and has since expanded to offer a 5-year loan product as well. Upstart developed an income and default prediction model to determine creditworthiness of a potential borrower. This means that in addition to traditional underwriting criteria—FICO score, credit report, and income—the Upstart underwriting considers education variables—colleges attended, area of study, GPA, and standardized test scores—and work history to develop a statistical model of the borrower's financial capacity and personal propensity to repay. Upstart raised a $1.75M seed round from First Round Capital, Kleiner Perkins Caufield & Byers, New Enterprise Associates, Google Ventures, Crunchfund and Mark Cuban.
