Market action

A concise summary of the latest filing, transaction, or market-moving item.

Vital Farms, Inc. (VITL) reported the results of its 2026 annual meeting of stockholders, held on June 10, 2026. The company disclosed the voting outcomes under Form 8-K Item 5.07, covering director elections, auditor ratification and an advisory vote on executive compensation. Stockholders elected two director nominees to serve until the company’s 2029 annual meeting of stockholders and until their successors are elected and qualified. Russell Diez-Canseco received 22,296,432 votes for his election and 5,552,204 votes withheld. Kelly Kennedy received 22,047,980 votes for election and 5,800,656 votes withheld. Broker non-votes for the director election totaled 7,551,586. Investors also ratified the appointment of KPMG LLP as Vital Farms’ independent registered public accounting firm for the fiscal year ending December 27, 2026. The auditor ratification proposal received 35,004,645 votes for, 374,653 votes against and 20,924 abstentions. In addition, stockholders approved, on a non-binding advisory basis, the compensation of Vital Farms’ named executive officers as described in the company’s proxy statement. The say-on-pay proposal received 25,303,758 votes for, 2,246,660 votes against and 298,218 abstentions, with broker non-votes implied by the voting totals for non-routine matters. The filing does not report an insider stock transaction, securities issuance, share repurchase, option exercise, vesting event or transaction price. Its significance is governance-related: Vital Farms confirmed continued board service for two nominees, retained KPMG as auditor for the current fiscal year and received majority stockholder support for its executive compensation program. The report was signed on June 16, 2026, by Joanne Bal, the company’s Chief Legal Officer, Corporate Secretary and Head of Impact.
