Wynn Resorts, Limited disclosed that its Macau subsidiaries have accepted an amended and restated land concession contract with the Macau government that clears the way for an expansion of Wynn Palace in Cotai. The action occurred on July 21, 2026, corresponding to July 22, 2026 in Hong Kong, when the Macau Special Administrative Region of the People’s Republic of China published the amended land concession contract in Macau’s Official Gazette. The agreement was accepted by Palo Real Estate Company Limited and Wynn Resorts (Macau) S.A., both indirect subsidiaries of Wynn Resorts. Palo is the land lessee, while Wynn Macau, as the gaming concessionaire, is required under the concession framework to operate and manage gaming operations on the Cotai site. The amended contract modifies and restates the original land concession contract published on May 2, 2012. Under that original arrangement, Palo leased approximately 51 acres of land in the Cotai area of Macau from the Macau government for an initial 25-year term running from May 2, 2012 through May 1, 2037, with renewal rights for additional periods subject to applicable law. The newly amended contract permits Palo and Wynn Macau to expand Wynn Palace through development of a new five-star hotel, a theater, and an event and entertainment center on the Cotai land. Wynn described the planned project collectively as the “Expanded Resort.” The Macau government has given Palo up to 60 months from the date the amended contract was published to complete development of the expansion. As part of the amended concession terms, Palo must pay the Macau government an additional land premium of MOP652.3 million, or approximately $80.8 million, as a one-time lump-sum payment upon acceptance of the amended contract conditions. Palo also must pay additional annual rent, bringing total annual rent for the Expanded Resort to MOP9.5 million, or approximately $1.2 million. The Macau government may review the rent every five years from the publication date of the amended contract. Palo is also required to provide an additional guarantee to the Macau government, either through a deposit or bank guarantee, in an amount equal to the annual rent payable under the amended land concession contract. The filing reports the agreement under Item 1.01, “Entry into a Material Definitive Agreement,” reflecting that the amended land concession is a material contract for Wynn’s Macau operations and development plans. Wynn also reported under Item 7.01 that Wynn Macau, Limited, its Hong Kong-listed indirect subsidiary, made a corresponding announcement to The Stock Exchange of Hong Kong Limited regarding the Macau government’s publication of the amended contract.
