Accenture plc reported that its wholly owned subsidiary, Accenture Capital Inc., completed a large multi-tranche debt offering on July 10, 2026, raising nearly $5 billion through the sale of senior notes. The financing was conducted under an underwriting agreement dated July 8, 2026, with Accenture Capital as issuer and Accenture plc as guarantor. The offering consisted of five series of notes: $300 million aggregate principal amount of floating rate notes due 2029; $1.0 billion of 4.750% senior notes due 2029; $1.5 billion of 5.000% senior notes due 2031; $1.1 billion of 5.300% senior notes due 2033; and $1.1 billion of 5.600% senior notes due 2036. Accenture plc fully and unconditionally guaranteed all of the notes. The aggregate public offering price was $4.997 billion. Accenture said estimated net proceeds were approximately $4.979 billion after deducting underwriting discounts, but before deducting offering expenses. The company did not specify in the filing how the proceeds would be used. BofA Securities, Inc., Barclays Capital Inc., Citigroup Global Markets Inc. and J.P. Morgan Securities LLC acted as managers for the group of underwriters. The notes were issued under an indenture dated October 4, 2024, among Accenture Capital, Accenture plc and The Bank of New York Mellon Trust Company, N.A., as trustee. A July 10, 2026 officer’s certificate established the terms of each series of notes. The filing was made under Item 8.01, “Other Events,” and also included Item 9.01 exhibits related to the transaction. Those exhibits included the underwriting agreement, the officer’s certificate, forms of each note series, and legal opinions from Arthur Cox LLP and Gibson, Dunn & Crutcher LLP. The transaction represents a significant debt financing by Accenture’s finance subsidiary, backed by the parent company’s guarantee, extending the company’s debt maturities across 2029, 2031, 2033 and 2036.
