Archer-Daniels-Midland Co. announced a major leadership appointment, naming Jeffrey Rowe as executive vice president and chief operating officer, effective August 17, 2026. The appointment was announced on July 20, 2026, following an offer letter dated July 17, 2026. Rowe, 53, is joining ADM after serving as chief executive officer of Syngenta Group, a role he has held since January 2024 and from which he is expected to step down effective August 1, 2026. Before becoming Syngenta Group CEO, he served as president of Syngenta Crop Protection from July 2022 through December 2023 and president of Syngenta Seeds from September 2016 through June 2022. Earlier in his career, Rowe was vice president of strategic services and planning at DuPont Pioneer from July 2015 to September 2016 and served on that company’s leadership team. ADM disclosed the appointment under Item 5.02 of Form 8-K, covering the appointment of certain officers and related compensatory arrangements. The company said Rowe was not selected pursuant to any arrangement or understanding with other persons, has no family relationships with ADM directors or executive officers, and has no direct or indirect material interest in any related-party transaction requiring disclosure under Item 404(a) of Regulation S-K. Under Rowe’s written offer letter, ADM will pay him an initial annual base salary of $1.2 million. He will also participate in ADM’s annual cash incentive plan with a target opportunity equal to 175% of base salary. For 2026, that bonus will be prorated and based on the higher of target-level 2026 company and individual performance or actual 2026 performance, with payment expected in the first quarter of 2027. If ADM terminates Rowe without “Cause” before the payment date, the company will pay his prorated 2026 cash bonus at target within 30 days of termination. Rowe’s annual target equity award opportunity will be $12.5 million. For 2026, he will receive an equity award with a grant-date value of $11.1 million, split 60% into performance stock units and 40% into restricted stock units. The PSUs will have the same terms as ADM’s annual 2026 PSU awards granted to other executive officers. The RSUs will vest in three equal annual installments over three years on the anniversaries of the grant date. ADM also agreed to provide one-time “make-whole” awards intended to replace cash incentives and equity awards Rowe will forfeit from his prior employer that were scheduled to vest by the end of 2027. These include a $2.2 million cash bonus payable in January 2027, provided Rowe remains employed by ADM or is terminated without Cause or resigns for “Good Reason,” as defined in ADM’s 2020 Incentive Compensation Plan. In addition, Rowe will receive RSUs with a grant-date value of $16.69 million, vesting 40% five months after the grant date and 60% seventeen months after the grant date. Any unvested portion of that make-whole RSU award will accelerate if, during the 17-month period, ADM terminates him without Cause or he resigns for Good Reason. The company also said Rowe will receive relocation benefits under ADM’s relocation policy and will be eligible to participate in employee benefit plans and programs, including executive-level plans, programs and severance guidelines, subject to eligibility requirements. In connection with the announcement, ADM furnished a July 20, 2026 press release under Item 7.01, Regulation FD Disclosure. The filing also lists the offer letter as Exhibit 10.1 and the press release as Exhibit 99.1.
