Autodesk, Inc. is an American multinational software corporation that provides software products and services for the architecture, engineering, construction, manufacturing, media, education, and entertainment industries. Autodesk is headquartered in San Francisco, California, and has offices worldwide. Its U.S. offices are located in the states of California, Oregon, Colorado, Texas, Michigan, New Hampshire and Massachusetts. Its Canadian offices are located in the provinces of Ontario, Quebec, Alberta, and British Columbia. The company was founded in 1982 by John Walker, who was a co-author of the first versions of AutoCAD. AutoCAD is the company's flagship computer-aided design software and, along with its 3D design software Revit, is primarily used by architects, engineers, and structural designers to design, draft, and model buildings and other structures. Autodesk software has been used in many fields, and on projects from the One World Trade Center to Tesla electric cars. Autodesk became best known for AutoCAD, but now develops a broad range of software for design, engineering, and entertainment—and a line of software for consumers.

Autodesk, Inc. (NASDAQ: ADSK) reported that on July 13, 2026, it established a new unsecured commercial paper program that will allow the company to issue short-term debt securities from time to time. Under the program, Autodesk may issue unsecured commercial paper notes with maturities of up to 365 days from the date of issuance. The maximum aggregate face or principal amount of notes outstanding at any one time is capped at $2.0 billion. The notes may be borrowed, repaid and re-borrowed under the program, and will rank at least equally in right of payment with Autodesk’s other unsecured and unsubordinated debt. Autodesk said it expects to use proceeds from any notes issued for general corporate purposes, including to partially finance its previously announced acquisition-related transactions involving MaintainX Inc. Those transactions were contemplated by a May 28, 2026 Agreement and Plan of Merger among Autodesk, Matterhorn Acquisition Corp.—a Delaware corporation and wholly owned Autodesk subsidiary—MaintainX Inc., and Shareholder Representative Services LLC, acting solely as securityholders’ agent. As of the July 13 filing date, Autodesk had not yet issued any notes under the commercial paper program. The company said the program is backed by available capacity under its existing unsecured revolving credit facility, which also has aggregate commitments of $2.0 billion. The filing was made under Item 8.01, “Other Events,” of Form 8-K. Autodesk also noted that the commercial paper notes have not been, and will not be, registered under the Securities Act of 1933 or state securities laws, meaning they may be offered or sold in the United States only through registration or an applicable exemption. The company included standard forward-looking statement language, cautioning that plans for the commercial paper program, potential note issuances, use of proceeds, and financing of the MaintainX transaction remain subject to risks. These include whether the merger conditions are satisfied, whether the MaintainX transaction closes on the expected schedule or at all, and the availability, timing and cost of financing.
