AMETEK, Inc. reported that it put in place a major new financing package on June 9, 2026, tied in part to its previously announced acquisition of Indicor Holdings, LLC. The company entered into two senior unsecured credit arrangements: an amended and restated revolving credit facility and a new term loan facility. Together, the agreements provide AMETEK with expanded liquidity and acquisition financing, while replacing a previously obtained bridge financing commitment. Under the amended and restated revolving credit agreement, AMETEK and certain foreign subsidiaries increased the aggregate lender commitments for revolving loans from $2.3 billion to $3.5 billion. The maturity date of the revolver was extended to June 9, 2031, subject to additional extension provisions described in the agreement. JPMorgan Chase Bank, N.A. and J.P. Morgan SE serve as administrative agent, while Bank of America, N.A., PNC Bank, National Association, Truist Bank and Wells Fargo Bank, National Association act as co-syndication agents. AMETEK said it may use up to $1.0 billion of proceeds from the revolving loans to pay a portion of the consideration for the acquisition of all outstanding equity interests of Indicor Holdings, LLC, as well as related fees, costs and expenses. Revolver proceeds may also be used to refinance debt, fund working capital and support general corporate purposes, including acquisitions. Separately, AMETEK entered into a term loan credit agreement providing for up to $4.0 billion in senior unsecured term loans. The term loan facility is divided into three tranches: $1.625 billion of Tranche A loans maturing three years after they are drawn, $1.625 billion of Tranche B loans maturing four years after drawdown, and $750 million of Tranche C loans maturing five years after drawdown. Bank of America, N.A. is administrative agent for the term loan facility, with JPMorgan Chase Bank, N.A., PNC Bank, National Association, Truist Bank and Wells Fargo Bank, National Association serving as syndication agents. Funding of the term loans is subject to customary conditions, including completion of the Indicor acquisition. The term loans are available only in a single borrowing on the closing date of the acquisition, and proceeds may be used only in connection with that transaction. The loans will bear interest at either a Term SOFR rate or an alternate base rate, plus an applicable margin determined by AMETEK’s credit rating or leverage level. AMETEK may prepay the loans at any time, in whole or in part, without premium or penalty, other than potential breakage costs, and may reduce commitments under the term loan agreement. Both credit agreements include customary affirmative and negative covenants, including restrictions on indebtedness, liens, fundamental changes and asset sales, subject to exceptions and thresholds. They also include financial covenant requirements based on either a maximum total net leverage ratio or, after satisfaction of a financial covenant transition condition, a minimum interest coverage ratio. The term loan agreement also includes customary events of default, including nonpayment, covenant breaches, misrepresentations and certain bankruptcy-related events, in some cases subject to thresholds, exceptions or grace periods. As a result of entering into the revolving credit agreement and the term loan agreement, AMETEK’s previously obtained $5.0 billion bridge financing commitments for the Indicor acquisition were automatically reduced and terminated in full. The filing was made under Item 1.01, Entry into a Material Definitive Agreement, and Item 2.03, Creation of a Direct Financial Obligation, reflecting the company’s new debt financing arrangements and the replacement of temporary bridge commitments with longer-term committed financing.
