Bel Fuse Inc. reported new compensation amendments for its two top executives, President and Chief Executive Officer Farouq Tuweiq and Chief Financial Officer and Principal Accounting Officer Lynn Hutkin. Taken together, his stated target compensation components rise from $3.4 million to $4.7 million before any other benefits or terms. Hutkin’s employment agreement was also amended. Her base salary increased from $300,000 to $400,000. Her annual variable compensation opportunity rose from 125% of base salary to 150% of base salary. Based on the new base salary, that equals a target annual variable award of $600,000. The allocation of her variable compensation was adjusted from 60% cash and 40% RSUs to 55% cash and 45% RSUs, implying $330,000 in cash incentive compensation and $270,000 in RSU value at target. Her annual Long-Term Performance Award percentage was increased from 75% of base salary to 100% of base salary, which equals $400,000 under the amended salary level. Her stated target compensation components therefore rise to about $1.4 million, compared with roughly $900,000 under the prior base salary and incentive percentages. The filing does not report open-market stock purchases or sales, option exercises, transaction codes, share counts, prices, or post-transaction ownership figures. Instead, the action centers on revised executive pay arrangements, including increased cash compensation and a greater use of equity-based RSUs as part of annual variable compensation, particularly for the CEO.
