Market action

A concise summary of the latest filing, transaction, or market-moving item.

BETA Technologies, Inc. reported an insider ownership change by Kyle Clark involving the company’s Class A common stock on July 13, 2026. The Form 4 indicates sales transactions by The Godric’s Hollow Trust, an entity affiliated with Clark, under a previously established Rule 10b5-1 trading plan. The filing reports an open-market sale transaction involving 15,000 shares of BETA Class A common stock at a weighted average price of $17.4793 per share. The shares were sold in multiple transactions at prices ranging from $17.29 to $17.80. The transaction was reported with the standard insider transaction code “S,” indicating a sale. The document also references additional weighted-average sale pricing, including a reported price of $18.4167 per share, with sales executed across multiple prices ranging from $18.11 to $18.69. Another price range disclosed in the filing covers sales between $17.58 and $18.41. As is typical for Form 4 filings using weighted-average prices, Clark undertook to provide detailed per-price share information to BETA, its security holders, or SEC staff upon request. Following the reported transactions, the filing lists ownership of 5,509,837 shares of Class A common stock. The securities are associated with The Godric’s Hollow Trust, and Clark disclaims beneficial ownership except to the extent of his pecuniary interest in the shares. The key point for investors is that the sales were made under a prearranged 10b5-1 plan, which allows insiders or affiliated entities to sell shares according to preset instructions, potentially reducing concerns that the trades were made based on material nonpublic information.
