Beyond Meat, Inc. disclosed on July 17, 2026, that it is in private discussions with certain holders of its 7.00% Convertible Senior Secured Second Lien PIK Toggle Notes due 2030 about potential amendments to the indenture governing those notes. The proposed changes would give Beyond Meat more flexibility to address its separate outstanding 0% Convertible Senior Notes due 2027. Specifically, the company is seeking to remove certain restrictions in the 2030 notes indenture that limit its ability to repurchase or exchange the 2027 notes using cash and/or equity consideration. That could allow the company to pursue a debt-management transaction involving the nearer-term 2027 convertible notes, although no such transaction was announced in the filing. Beyond Meat is also discussing an extension of the “make-whole” period applicable to conversions of the 2030 notes. The current end date for the make-whole period is October 15, 2028; the proposed amendment would extend it to January 15, 2029. The make-whole provision affects the calculation of an interest make-whole adjustment for holders converting the 2030 notes during the applicable period. The amendments would not become effective unless Beyond Meat and the trustee for the 2030 notes enter into a supplemental indenture. To do so, the company must obtain consents from holders representing a majority of the outstanding principal amount of the 2030 notes. Beyond Meat cautioned that there is no assurance the necessary consents will be obtained or that a supplemental indenture will be executed. The company said that if a supplemental indenture is entered into, it will announce the development in a subsequent Current Report on Form 8-K. However, Beyond Meat does not expect to provide additional disclosure if the amendment process does not result in a supplemental indenture. The disclosure was made under Item 7.01, Regulation FD Disclosure, and the company emphasized that it was not making an offer to sell or soliciting an offer to buy any securities.
