CBRE Group, Inc. entered into a new one-year senior unsecured revolving credit facility on June 23, 2026, securing up to $1.0 billion of borrowing capacity for its subsidiary CBRE Services, Inc. The agreement was signed among CBRE Group, CBRE Services, the participating lenders, and Wells Fargo Bank, National Association, acting as administrative agent. The new 364-day Revolving Credit Agreement replaces CBRE’s prior 364-day senior unsecured revolving credit agreement dated June 24, 2025, which was scheduled to terminate on June 23, 2026. The new facility matures on June 22, 2027, at which time any outstanding principal must be repaid in full and the lenders’ revolving commitments will terminate. Borrowings under the facility will bear interest at an applicable margin plus, at CBRE Services’ option, either a Term SOFR rate for the selected interest period or a base rate. The base rate is determined by reference to the greatest of Wells Fargo’s prime rate, the federal funds rate plus 0.50%, or one-month Term SOFR plus 1.00%. For Term SOFR borrowings, the applicable spread ranges from 0.645% to 1.125% annually, depending on CBRE Group’s credit rating. For base-rate borrowings, the spread ranges from 0% to 0.10%, also tied to the company’s credit rating. In addition to interest on amounts drawn, CBRE Services must pay a facility fee to lenders on the full commitment amount, whether drawn or undrawn. That fee ranges from 0.055% to 0.125% annually, based on CBRE’s credit rating. The agreement does not require routine prepayments, except if outstanding revolving loans exceed the facility’s total commitment, in which case CBRE Services must repay the excess. The borrower may voluntarily repay loans at any time, in whole or in part, without premium or penalty, other than customary breakage costs. CBRE Services may also permanently reduce or terminate commitments without premium or penalty. The obligations are guaranteed by CBRE Group and, in limited respects, CBRE Services for certain subsidiary cash management and hedging obligations. The agreement also contemplates guarantees by CBRE’s direct and indirect U.S. wholly owned subsidiaries that guarantee other material indebtedness of the company and its subsidiaries, though CBRE stated that, as of the agreement date, no such subsidiaries guarantee this facility or other material indebtedness.
