CleanSpark, Inc. (Nasdaq: CLSK) disclosed that it has entered into a major infrastructure lease agreement with an unnamed “leading global technology company” described as having a high investment-grade credit profile. The agreement was signed on July 10, 2026, and CleanSpark announced it publicly on July 14, 2026. Under the lease, the tenant will lease data center infrastructure at CleanSpark’s Sandersville, Georgia campus. The leased infrastructure is expected to support 175 megawatts of critical information technology load, marking a significant data-center infrastructure commitment for the company. The lease is structured as a triple net lease, meaning the tenant is responsible for paying all costs, charges, indemnities and expenses associated with the property. It has an initial term of 20 years and includes annual rent escalators. The tenant also received two extension options, each for an additional five years, potentially extending the relationship to 30 years in total. CleanSpark noted that the lease includes important conditions tied to financing, construction and delivery milestones, as well as other covenants. If the company does not satisfy applicable milestones on time, the tenant may receive rent abatements or the lease could be terminated. In addition to the Georgia lease, the tenant also signed a related letter of intent and exclusivity arrangement covering 718 acres within CleanSpark’s Texas portfolio. That Texas portfolio includes up to 885 megawatts of secured and planned power capacity, suggesting the parties may be evaluating a much larger infrastructure relationship beyond the initial Sandersville lease. The filing reported the announcement under Item 7.01, Regulation FD Disclosure, and described the lease terms under Item 8.01, Other Events. CleanSpark also furnished a July 14, 2026 press release as Exhibit 99.1. No securities issuance, insider transaction, share count, option grant, transaction price, or change in beneficial ownership was reported in this filing.
