Market action

A concise summary of the latest filing, transaction, or market-moving item.

CoStar Group, Inc. (CSGP) reported a chief financial officer transition, with current CFO Christian Lown resigning effective July 31, 2026, and Robin Rossmann appointed to succeed him as Chief Financial Officer on the same date. The company said Lown, who serves as Chief Financial Officer and Principal Financial Officer, informed CoStar on July 7, 2026, that he will leave for another opportunity outside the company’s industry. CoStar noted that Lown advised his resignation was not due to any disagreement with the company regarding its operations, policies or practices. On July 13, 2026, CoStar’s board appointed Rossmann, age 45, as CFO effective July 31, 2026. Rossmann is currently CoStar’s Managing Director, Europe, and a member of the company’s executive leadership team. The filing highlights his nearly seven years with CoStar, including leadership of international businesses, margin improvement in the European business, double-digit revenue growth, and the launch of CoStar in France. Rossmann originally joined STR in 2016, leading its businesses across EMEA, Asia Pacific and Latin America, and became part of CoStar through the company’s 2019 acquisition of STR. Before STR, he spent 13 years at Deloitte, where he was a Senior Director advising real estate and hospitality clients on financial assurance, controls, risk management, due diligence, capital markets, debt advisory, valuation and related matters. In connection with the appointment, CoStar entered into an offer letter agreement with Rossmann. After the July 31 effective date, he will receive an annual base salary of £440,000, which will convert to $590,000 once he relocates to Arlington, Virginia. That relocation is expected after receipt of U.S. work authorization and on or before December 31, 2026. Rossmann will also be eligible for an annual incentive bonus with a target equal to 100% of base salary. Rossmann will receive a one-time equity award under the CoStar Group, Inc. 2025 Stock Incentive Plan valued at $2.5 million as of the July 31, 2026 grant date. The award will be structured consistently with 2026 equity awards granted to other executive officers: 40% in restricted stock units vesting in three equal annual installments on or around each anniversary of the grant date, and 60% in performance stock units vesting after the Compensation Committee determines performance achievement for the 2026–2028 performance period. Both components are generally subject to continued employment. The filing does not specify the number of shares or units, which will depend on the grant-date valuation and plan terms. CoStar also said Rossmann will be eligible for relocation services, including an additional payment for out-of-pocket tax costs, and a cash relocation subsidy totaling $500,000 before applicable taxes and withholding. Those relocation benefits are payable subject to continued employment in good standing. He will also be eligible to participate in CoStar’s Executive Severance Plan on the same terms as the company’s other executive officers. The company furnished a July 13 press release announcing Rossmann’s appointment under Regulation FD and listed it as Exhibit 99.1. The main corporate action reported in the filing is the planned CFO succession, with Lown’s departure and Rossmann’s appointment both taking effect July 31, 2026.
