About the company

FedEx Corporation

FedEx Corporation, originally known as Federal Express Corporation, is an American multinational conglomerate holding company specializing in transportation, e-commerce, and business services. The company is headquartered in Memphis, Tennessee. The name "FedEx" is a syllabic abbreviation of its original air division, Federal Express, which operated under this name from 1973 until 1994. FedEx is best known for its delivery service, as well as FedEx Express, FedEx Ground, FedEx Office, FedEx Supply Chain, FedEx Freight, and several other services through a network of subsidiaries. These expansions have often been strategic moves to compete with its primary rival, UPS. The company's air shipping operations are centralized at its primary hub at Memphis International Airport, making it a critical hub for global logistics.

Market action

A concise summary of the latest filing, transaction, or market-moving item.

FedEx Corp. filed an 8-K on July 21, 2026, reporting a significant change in how it will present its financial results following two major corporate events that took effect on June 1, 2026: a fiscal year-end change and the completion of the FedEx Freight spin-off. Effective June 1, 2026, FedEx changed its fiscal year end from May 31 to December 31. Because of that change, the company will report a seven-month transition period covering June 1, 2026, through December 31, 2026, in a Transition Report on Form 10-K. After that transition period, FedEx will report results on a calendar-year basis, beginning with the fiscal year ending December 31, 2027. FedEx also reported that on June 1, 2026, it completed the spin-off of its less-than-truckload freight transportation services businesses conducted through FedEx Freight into a new, publicly traded company. The FedEx Freight business included FedEx Custom Critical, Inc., LTL Select, and other operations historically reported within the FedEx Freight segment. As a result of the spin-off, FedEx will no longer consolidate FedEx Freight’s results, and FedEx Freight is no longer a FedEx reportable segment. Following the separation, FedEx realigned its internal reporting and management structure beginning with the first quarter of the transition period. The company identified two new reportable segments: Express U.S. Domestic and Express International. Previously, those businesses were included together in the Federal Express reportable segment. FedEx said the new segment structure reflects how management now reviews performance and allocates resources. Under Item 2.02, “Results of Operations and Financial Condition,” FedEx furnished supplemental historical financial information as Exhibit 99.1. The materials are intended to help investors compare historical results under the company’s new reporting framework, reflecting the fiscal year-end change, the presentation of FedEx Freight as discontinued operations, and the revised segment structure. FedEx emphasized that the unaudited supplemental information is for informational purposes only, does not represent a restatement or reissuance of prior financial statements, and should not be considered indicative of future or annual results. The filing does not report an insider stock transaction, share sale, option exercise, transaction code, price, or change in individual ownership. Instead, it documents corporate reporting changes tied to FedEx’s calendar-year transition and the completed separation of FedEx Freight. The report was signed on July 21, 2026, by Claude F. Russ, Enterprise Vice President, Finance, and Interim Chief Financial Officer and Interim Chief Accounting Officer.
