HEICO Corporation completed a $1.2 billion public debt offering on July 16, 2026, issuing two series of unsecured senior notes. The financing followed an underwriting agreement dated July 13, 2026, between HEICO and BofA Securities, Inc., PNC Capital Markets LLC, Truist Securities, Inc. and Wells Fargo Securities, LLC, acting as representatives of the underwriters. The offering consisted of $550 million aggregate principal amount of 4.950% Senior Notes due 2031 and $650 million aggregate principal amount of 5.400% Senior Notes due 2036. HEICO said it intends to use the net proceeds to repay borrowings outstanding under its existing revolving credit facility, originally dated November 6, 2017, with Truist Bank serving as administrative agent. The notes were issued under an indenture dated July 16, 2026, between HEICO and Truist Bank, as trustee, together with a first supplemental indenture executed the same day. Interest on both series will be paid semiannually in arrears on February 1 and August 1 of each year, beginning February 1, 2027. The 2031 notes mature on August 1, 2031, while the 2036 notes mature on August 1, 2036. The securities are direct, unsecured senior obligations of HEICO and rank equally with the company’s existing and future senior unsecured debt. HEICO may redeem the notes before their applicable par call dates at redemption prices specified in the indenture. On or after the applicable par call date, the company may redeem the notes, in whole or in part, at 100% of principal plus accrued and unpaid interest to, but excluding, the redemption date. The company may also be required to offer to repurchase the notes if a “change of control triggering event” occurs. The indenture includes customary covenants restricting HEICO and its subsidiaries from granting certain liens to secure debt or entering into sale-and-leaseback transactions, and it limits HEICO’s ability to merge, consolidate, or transfer substantially all of its assets, subject to stated exceptions. It also contains customary events of default, which could lead to acceleration of the notes automatically in some cases or upon action by the trustee or holders of at least 25% of the outstanding principal amount. HEICO also reported the creation of a direct financial obligation under Item 2.03, furnished a July 16 press release announcing the completed offering under Regulation FD, and filed a legal opinion from Akerman LLP regarding the validity of the notes. The filing does not report any insider stock transactions, option exercises, share sales, or changes in beneficial ownership.
