Market action

A concise summary of the latest filing, transaction, or market-moving item.

The Hartford Insurance Group, Inc. (HIG) reported a board appointment, disclosing that its board of directors elected Randy Larsen as a director on July 15, 2026. His appointment will become effective September 1, 2026. Larsen will also join two board committees effective September 1: the Finance, Investment and Risk Management Committee, and the Nominating and Corporate Governance Committee. The company said its board determined that Larsen is independent under New York Stock Exchange requirements and the company’s Corporate Governance Guidelines. The board also determined that he has no direct or indirect interest in any transaction with the company that would qualify as a related-party transaction under Item 404(a) of Regulation S-K. For the remainder of the 2026–2027 board service year, Larsen will receive prorated non-management director compensation. That includes $82,700 in cash, representing a prorated portion of the company’s $115,000 annual cash retainer for non-management directors. He will also receive restricted stock units valued at $136,600, representing a prorated portion of the company’s $190,000 annual equity retainer. The restricted stock units will be granted on the second trading day after The Hartford files its Form 10-Q for the quarter ending September 30, 2026. The number of RSUs will be determined using the company’s closing stock price on the grant date, so the filing does not provide a final share count or per-share grant price. Larsen will also participate in The Hartford’s other non-management director compensation arrangements described in its 2026 proxy statement. Those benefits include $100,000 of group life insurance coverage, $750,000 of accidental death and dismemberment and permanent total disability coverage, and reimbursement for travel and related expenses tied to board service. The company also reported under Regulation FD that it issued a press release on July 15, 2026, announcing the board appointment. The filing does not report any open-market stock purchase or sale, insider transaction code, option exercise, or change in beneficial ownership.
