Centrus Energy Corp. reported that its wholly owned subsidiary, American Centrifuge Operating, LLC (“ACO”), signed a major contract with the U.S. Department of Energy on June 30, 2026, to establish new domestic commercial production capacity for High-Assay, Low-Enriched Uranium, or HALEU, at ACO’s leased facility in Piketon, Ohio. The agreement, disclosed under Form 8-K Item 1.01 for entry into a material definitive agreement, covers ACO’s performance under a task order awarded by the Department of Energy. That task order falls under an indefinite delivery-indefinite quantity contract that ACO and the Department previously executed in 2024. The new contract sets a firm fixed price of $900 million, payable in increments through performance-based milestone payments. Under the base scope, ACO is to deploy a specified amount of enrichment capacity and deliver, by March 2032, one metric ton of uranium enriched as HALEU uranium hexafluoride to a nominal 19.75 weight percent U-235. HALEU at this enrichment level is significant because it is expected to be used as fuel for certain advanced nuclear reactor designs and other next-generation nuclear applications. The contract also gives the Department of Energy two additional options, each exercisable at the Department’s sole discretion. Each option would cover delivery, over a maximum 12-month period, of five metric tons of uranium enriched as HALEU. The option price is fixed at $17 million per metric ton, or $85 million for each five-metric-ton option. If both options were exercised, they would add up to $170 million in potential additional contract value beyond the $900 million base award. A notable ownership provision is included in the arrangement: upon completion of its obligations under the contract, ACO would obtain title to the deployed enrichment capacity. That could be strategically important for Centrus because it may leave the company with domestic enrichment infrastructure after satisfying the government contract requirements. Centrus said it issued a press release on July 1, 2026, concerning the contract and other Department of Energy-related company matters, and included that release as Exhibit 99.1 to the filing. The company also stated that the full text of the contract is expected to be filed as an exhibit to its next quarterly report on Form 10-Q. No insider stock transaction, share purchase, sale, equity issuance, transaction code, or change in beneficial ownership was reported in this filing; the central corporate action is the material DOE contract for HALEU enrichment capacity and delivery.
