Lumen Technologies, Inc. is an American telecommunications company headquartered in Monroe, Louisiana. It offers network, security, cloud, voice, and other managed communications services through its fiber optic and copper networks, data centers and cloud computing services. The company has been included in the S&P 600 index since March 2023, and was previously listed among the S&P 500. Its communications services have included local and long-distance voice, broadband internet, Multiprotocol Label Switching, private line, Ethernet, hosting, data integration, video, network, public access, Voice over Internet Protocol, information technology, and other ancillary services. Lumen has gone through many acquisitions, divestments, and structural changes. In the 20th century, this primarily consisted of buying and selling local telecom providers. Larger mergers at the beginning of the 21st century added internet service providing to Lumen's core business. As cloud computing became more important, Lumen acquired businesses serving enterprise cloud customers, while divesting its consumer connectivity business to AT&T, Brightspeed, Verizon and Ziply Fiber.

Lumen Technologies, Inc. reported that on June 11, 2026, it and its wholly owned subsidiary Qwest Corporation completed the settlement of previously announced exchange offers and related consent solicitations involving Qwest debt securities. The transaction resulted in Qwest issuing new long-dated notes, fully and unconditionally guaranteed by Lumen on an unsecured basis, in exchange for outstanding Qwest notes. As part of the settlement, Qwest issued approximately $1.38 billion in aggregate principal amount of new notes. The issuance consisted of $1,002,320,075 principal amount of 6.500% Notes due 2051 and $381,528,000 principal amount of 6.750% Notes due 2052. Of the 2051 notes, $487,022,150 was issued in $1 denominations and $515,297,925 was issued in $25 denominations. The new securities were issued under a June 11, 2026 base indenture between Qwest and U.S. Bank Trust Company, National Association, as trustee, supplemented by a first supplemental indenture among Qwest, Lumen as guarantor, and the trustee. The new 6.500% notes mature on September 1, 2051 and bear interest at 6.500% per year, payable quarterly on March 1, June 1, September 1 and December 1, beginning September 1, 2026. The new 6.750% notes mature on June 15, 2052 and bear interest at 6.750% per year, payable quarterly on March 15, June 15, September 15 and December 15, beginning September 15, 2026. The $25-denominated 6.500% notes due 2051 and the 6.750% notes due 2052 are expected to trade on the New York Stock Exchange under the symbols “CTGG” and “CTHH,” respectively. The $1-denominated 6.500% notes due 2051 will not be listed, although they are part of the same series of 2051 notes for voting purposes and were issued under the same supplemental indenture with separate CUSIP numbers. In connection with the consent solicitations, Qwest also amended the indentures governing its older 6.5% Notes due 2056 and 6.75% Notes due 2057. Through eighteenth and nineteenth supplemental indentures, respectively, Qwest eliminated substantially all of the restrictive covenants in the old note indentures. Those changes are significant because they reduce contractual limitations on Qwest under the legacy debt documents following the exchange. The Form 8-K was filed under Item 8.01, “Other Events,” and included as exhibits the new base indenture, the first supplemental indenture establishing the terms of the new 2051 and 2052 notes, the supplemental indentures modifying the old note indentures, and forms of the new notes. No insider stock transaction, share purchase, option exercise, or change in beneficial ownership was reported in this filing.
