On July 2, 2026, Mirion entered into a letter agreement and a secondment addendum with Eloy in connection with his expatriation assignment and secondment from France to the United States. The secondment addendum was entered into among Mirion Technologies (MGPI) SAS, Mirion Technologies, Inc. and Eloy. He will continue reporting to Thomas D. Logan, Mirion’s Chief Executive Officer. Under the arrangement, Eloy will receive an annual base salary of $415,000 during the assignment. Mirion said it will provide customary expatriation-related benefits as part of the assignment, including housing, relocation, education, travel, tax and social protection benefits. The assignment is expected to begin after Eloy receives the required work authorization. It is initially set for a 12-month term and may be extended by mutual written agreement, up to a total of 36 months. The filing was made under Item 5.02, which covers executive officer changes and compensatory arrangements, and included the letter agreement and secondment addendum as Exhibits 10.1 and 10.2. No securities transactions, share issuances, option grants, vesting events or changes in equity ownership were reported in the filing.
