MaxLinear, Inc. (MXL) reported a change in its independent registered public accounting firm, dismissing Grant Thornton LLP and appointing KPMG LLP as its new auditor. The company said the change became effective on May 28, 2026. MaxLinear’s audit committee approved the dismissal of Grant Thornton, effective immediately, and also approved the engagement of KPMG to serve as the company’s independent registered public accounting firm for the fiscal year ending December 31, 2026. MaxLinear stated that Grant Thornton’s audit reports on the company’s consolidated financial statements for the fiscal years ended December 31, 2025, and December 31, 2024, did not include an adverse opinion or disclaimer of opinion. The reports also were not qualified or modified with respect to uncertainty, audit scope, or accounting principles. The company further disclosed that during the 2025 and 2024 fiscal years and the subsequent interim period through May 28, 2026, there were no disagreements with Grant Thornton over accounting principles or practices, financial statement disclosure, or auditing scope or procedures. MaxLinear also said there were no “reportable events” under SEC rules, a term that can include certain issues such as material weaknesses or other matters that may affect the reliability of financial reporting. In connection with the auditor transition, MaxLinear provided Grant Thornton with a copy of the Form 8-K before filing and requested a letter addressed to the SEC stating whether Grant Thornton agreed with the company’s disclosures. That letter, dated June 1, 2026, was filed as Exhibit 16.1. MaxLinear also said that before KPMG’s appointment, neither the company nor anyone acting on its behalf consulted KPMG during the relevant period about accounting treatment for specific transactions, the type of audit opinion KPMG might issue, disagreements, or reportable events. This disclosure is intended to clarify that KPMG’s appointment was not preceded by advisory consultations on disputed or sensitive accounting matters. The filing was made under Item 4.01, “Changes in Registrant’s Certifying Accountant,” and does not report a securities transaction, insider trade, share issuance, option grant, or change in ownership. The significance of the filing is corporate governance and financial reporting-related: MaxLinear is changing external auditors for its 2026 fiscal year while stating that the transition did not arise from accounting disputes, audit-scope disagreements, modified audit opinions, or reportable internal-control events.
