MaxLinear, Inc. (MXL) reported a change in its independent registered public accounting firm, dismissing Grant Thornton LLP and appointing KPMG LLP as its new auditor. MaxLinear also said there were no “reportable events” under SEC rules, a term that can include certain issues such as material weaknesses or other matters that may affect the reliability of financial reporting. In connection with the auditor transition, MaxLinear provided Grant Thornton with a copy of the Form 8-K before filing and requested a letter addressed to the SEC stating whether Grant Thornton agreed with the company’s disclosures. That letter, dated June 1, 2026, was filed as Exhibit 16.1. MaxLinear also said that before KPMG’s appointment, neither the company nor anyone acting on its behalf consulted KPMG during the relevant period about accounting treatment for specific transactions, the type of audit opinion KPMG might issue, disagreements, or reportable events. This disclosure is intended to clarify that KPMG’s appointment was not preceded by advisory consultations on disputed or sensitive accounting matters.
