Norwegian Cruise Line Holdings Ltd. reported that shareholders approved an expanded equity incentive plan and several governance matters at the company’s annual general meeting held June 11, 2026, at the Pullman Miami in Miami, Florida. The most significant compensatory action was shareholder approval of an amendment and restatement of the Norwegian Cruise Line Holdings Ltd. 2013 Performance Incentive Plan. The amended plan increases the number of ordinary shares available for delivery under awards by 8,807,000 shares, raising the plan’s aggregate share limit from 48,009,006 ordinary shares to 56,816,006 ordinary shares. It also extends the plan’s expiration date to February 8, 2036. The plan is administered by the board of directors or committees appointed by the board, with general administrative authority delegated to the board’s Compensation Committee. Zillah Ellen Byng-Thorne received 247,005,384 votes for, 24,111,797 against, 1,062,837 abstentions, and 91,672,477 broker non-votes. Alex Cruz received 267,945,117 votes for, 3,693,105 against, and 541,796 abstentions. Linda P. Jojo received 258,428,913 votes for, 12,948,760 against, and 802,345 abstentions. The company’s advisory “say-on-pay” proposal on named executive officer compensation was approved, with 233,387,448 votes for, 38,145,401 against, and 647,169 abstentions. In a separate advisory vote on the frequency of future say-on-pay votes, shareholders favored holding the vote annually: 265,317,260 votes supported a one-year frequency, 498,761 supported two years, 5,418,226 supported three years, and 945,771 abstained. The proposal to approve the amendment to the 2013 Performance Incentive Plan, including the increase in shares available for grant, passed with 262,009,659 votes for, 9,510,085 against, and 660,274 abstentions. Shareholders also ratified PricewaterhouseCoopers LLP as Norwegian Cruise Line Holdings’ independent registered public accounting firm for the year ending December 31, 2026, and approved the Audit Committee’s determination of PwC’s remuneration. That proposal received 353,556,052 votes for, 9,454,489 against, and 841,954 abstentions. A shareholder proposal requesting the declassification of the board also passed, with 235,818,734 votes for, 35,431,208 against, and 930,076 abstentions.
