Market action

A concise summary of the latest filing, transaction, or market-moving item.

Northrop Grumman Corp. reported an insider ownership change involving Marianne Catherine Brown on June 30, 2026, related to the company’s common stock. The filing indicates that shares of common stock were deferred into a stock unit account under the Northrop Grumman 2024 Long-Term Incentive Stock Plan. The reported transaction was not described as an open-market purchase or sale. Instead, the shares were deferred into a plan-based stock unit account in a transaction exempt under Rule 16b-3, the SEC rule commonly used for certain officer and director transactions approved under company compensation plans. Because the action involved deferral into stock units, it appears to reflect compensation or equity-plan administration rather than a discretionary market trade. The filing also notes that Brown’s stock unit account includes shares of common stock and dividends credited to that account under the plan. Dividends earned on shares held in the stock unit account were described as exempt from Section 16 reporting and not reportable under Rule 16a-11. The document excerpt does not provide the number of shares deferred, the transaction price, a transaction code, or Brown’s post-transaction ownership total. It was signed on Brown’s behalf by Jennifer C. McGarey, attorney-in-fact, on July 1, 2026.
