Market action

A concise summary of the latest filing, transaction, or market-moving item.

O’Reilly Automotive Inc. reported a senior management appointment, naming Colin Yankee as Executive Vice President and Chief Supply Chain Officer, effective July 13, 2026. In the newly announced role, Yankee will oversee all aspects of O’Reilly’s supply chain operations, including merchandise, inventory management, distribution operations and transportation. The appointment was disclosed under Form 8-K Item 5.02, covering the appointment of certain officers and related compensatory arrangements. Yankee, 49, joins O’Reilly after more than 20 years of retail supply chain experience. Most recently, he served as Executive Vice President and Chief Supply Chain Officer at Tractor Supply Company beginning in February 2020, where his responsibilities included end-to-end supply chain management, global sourcing and trade compliance, inventory management, and e-commerce and omni-channel operations. His prior experience also includes supply chain and distribution roles at Neiman Marcus and Target Corporation. O’Reilly said Yankee will receive an annual base salary of $700,000. He will also be eligible to participate in the company’s annual performance incentive compensation plan, with a target payout equal to 85% of base salary. That incentive will be based on the company’s actual performance against the same criteria used for O’Reilly’s other executive officers. As part of his compensation package, Yankee will receive a stock option award with an estimated future fair value equal to 100% of his annual base salary, to be granted at the same time as the company’s annual executive officer grants. In addition, he will receive a hiring-related, position-level stock option award with a grant-date fair value of $500,000. That award is scheduled to be granted on July 13, 2026, and its value will be determined using the Black-Scholes option pricing model. The filing did not disclose the number of option shares, exercise price, vesting schedule or post-transaction ownership amounts. O’Reilly also entered into a change-in-control severance agreement with Yankee, with terms and provisions matching those applicable to the company’s other executive officers. He will be eligible for other benefits and perquisites on substantially similar terms to those provided to other O’Reilly executive officers. The company stated that Yankee was not selected pursuant to any arrangement or understanding with another person, has no family relationships with any O’Reilly director or officer, and has no related-party transactions requiring disclosure under Item 404(a) of Regulation S-K. The report was signed July 10, 2026, by Jeremy A. Fletcher, O’Reilly’s Executive Vice President and Chief Financial Officer.
