Visa Inc. reported that its Board of Directors amended the company’s Amended and Restated Bylaws, effective July 14, 2026. The action was disclosed in a Form 8-K filed July 15, 2026, under Item 5.03, which covers amendments to articles of incorporation or bylaws and changes in fiscal year. The amendments add exclusive-forum provisions for certain legal claims involving the company. Under the revised bylaws, the Court of Chancery of the State of Delaware will be the exclusive forum for bringing certain actions against Visa. If that court lacks subject-matter jurisdiction, the exclusive forum will be a state court located in Delaware. The provisions apply unless Visa consents in writing to an alternative forum. The bylaws also designate the federal district courts of the United States as the exclusive forum for claims brought under the Securities Act of 1933, as amended. This type of provision is commonly used by public companies to centralize Securities Act litigation in federal court and reduce the risk of parallel or duplicative proceedings in multiple jurisdictions. No stock issuance, insider transaction, share sale, option exercise, vesting event, or change in beneficial ownership was reported in the filing. The filing instead concerns corporate governance and litigation procedure. Visa included the full Amended and Restated Bylaws as Exhibit 3.2, and the report was signed on behalf of the company by Kelly Mahon Tullier, Vice Chair, Chief People and Corporate Affairs Officer and Corporate Secretary, on July 15, 2026.
