TeraWulf Inc. reported two major corporate developments on July 6, 2026: a long-term high-performance computing data center lease with Anthropic PBC and a separate agreement to sell its equity interests in FS CS I LLC for approximately $530 million. The company said its subsidiary, Raylan Data LLC, entered into a 20-year lease agreement with Anthropic for capacity at TeraWulf’s Justified Data Campus in Hawesville, Kentucky. Under the lease, Raylan Data will provide Anthropic with approximately 401 megawatts of critical IT load for high-performance computing operations. Delivery of the leased capacity is expected to occur in phases beginning in late 2027 and concluding in early 2028. Anthropic’s rent obligations will begin as each applicable leased premises is delivered and will continue for 20 years from that point. The agreement also gives Anthropic the option to extend the lease for up to 10 additional years through two successive five-year renewal options. TeraWulf stated that Anthropic’s payment obligations under the lease are expected to be supported by an investment-grade credit, an important detail for the financing and risk profile of the project. Separately, TeraWulf announced what it called the Abernathy Transaction. On July 6, 2026, Big Country Wulf LLC, a TeraWulf subsidiary, entered into a Membership Interest Purchase Agreement with Fluidstack CS I Inc. and certain other purchasers. Under the agreement, Big Country Wulf agreed to sell all of its equity interests in FS CS I LLC to the purchasers. The total consideration for the sale is approximately $530 million, payable in three installments. The first installment of $250 million is due within 14 days after execution of the purchase agreement. A second installment of $150 million is due on or before December 31, 2026. The final installment, approximately $130 million and subject to certain adjustments, is due on or before April 30, 2027. In connection with the transaction, TeraWulf’s subsidiary, FS CS I LLC and the purchasers agreed to mutual releases of claims, subject to the terms and conditions of the purchase agreement. Once the transaction is completed, Big Country Wulf will no longer own any equity interests in FS CS I LLC, although certain surviving rights and obligations will remain under the agreement. The Form 8-K was filed under Item 8.01, “Other Events,” with a July 6, 2026 press release attached as Exhibit 99.1. The filing does not report an insider purchase or sale, stock issuance, option grant, or change in beneficial ownership. Instead, it reports strategic corporate actions tied to TeraWulf’s transition and expansion into large-scale HPC data center infrastructure: a 401 MW long-term customer lease and a monetization of equity interests for roughly $530 million.
